The Situation

A middle-market private equity fund client had recently closed its latest fund and was looking to move quickly to acquire two new portfolio companies in short order, including one with international subsidiaries and operations in Asia.  The transactions presented significant challenges, including multi-party negotiations, an abbreviated time table and structure and cross-border issues.

The Solution

A GEABP team comprised of Matthew Weill, Eric Tausner, Robert Matz, Elizabeth Li, Andrew Peskoe and various supporting specialists drew on their extensive M&A experience, deep understanding of the existing platform business gained from the prior acquisition, and long-standing international law firm relationships to efficiently negotiate two transactions simultaneously, each of which included a substantial rollover by the founders/sellers, new institutional debt financing, equity co-investments and a representation-and-warranty insurance process.
